Synopsis: The Business Law Section hosted a discussion with seasoned Capital Markets and M&A lawyer, Christian Gauthier on trends in local and international M&A transactions. The format of the session was a Q&A session, with Chrisitan leading off on a general discussion of, and observations on, the current public and private M&A landscape, before taking questions from the floor.

Meeting Title/Topic: Current Practice Trends in Canadian Private M&A Agreements 
Synopsis: Transaction lawyers are under increasing pressure to be at the forefront of evolving market practices and emerging trends. On May 10, the Business Law Section heard from experts at Practical Law Canada as they reviewed the findings of their first annual Market Practice Analysis, outlining current practices and trends in Canadian private M&A transactions. Attendees gained insights into Practical Law’s What’s Market for key provisions in share and asset purchase agreements, including purchase price adjustments, representations and warranties, and indemnification. The goal was to ensure participants have the tools to provide timely and accurate advice to your clients when negotiating or drafting.

David was previously an adjunct professor of corporate tax law at Allard Hall, has been a contributor to the tax materials for the Professional Legal Training Course of British Columbia, and has lectured on tax matters across Canada.
